Basis of Contract

These Conditions govern the Contract and supersede any other terms the Customer may seek to impose. The Customer’s Order constitutes an offer to purchase the Vehicle in line with these Conditions. The Contract becomes binding upon the CG Evolution Auto Ltd written acceptance of the Order. Descriptive content in brochures, advertisements, or on CG Evolution Auto Ltd's website is provided for general guidance and does not form part of the Contract. Price quotes are valid for 28 Business Days from the issue date.

 

Vehicle Orders

An order submitted by you to us is an acceptance for us to obtain the ordered vehicle at the price agreed.

Following an initial application, you will give us permission to carry out a credit check on you or your company. If you have applied on behalf of a company, you will be agreeing that you have permission to grant us authority to credit search the company. Once an application has been approved an order will be created for you to view and accept.

Where you purchase a vehicle on financial arrangement, an order does not create a contract between CG Evolution Auto Ltd and you. You must enter into a financial agreement with the relevant finance company. You are not committed to any such finance agreement until the finance agreement has been signed by you and executed by the finance company. No order will be accepted until such finance agreement has been signed by you and executed by the finance company. 

We have the right to cancel any such order should you be rejected or refused finance by the relevant finance company. 

Part exchange vehicles are accepted at the Dealer's discretion, and their value will be confirmed following inspection. We may amend the part exchange value if the Vehicle's condition or market value changes.

Customer Obligations and Requirement 

To fulfil our regulatory due diligence obligations, we require proof of identification and residential address. This can include, but is not limited to, a copy of a valid driving license, utility bills, or bank statements. Delivery or collection of the vehicle cannot proceed until the necessary identity verification checks have been completed. 

You shall ensure that all terms of the order are complete and accurate and hereby agree to co-operate with us and provide us with all such information or materials as we may require from time to time in order to carry out the services. 

You hereby agree that you will be responsible for and will adhere at all times to any requirements or obligations required of you by any third party providing goods or services to you including but not limited to any third party finance provider.

Vehicle

The Vehicle is described in the Dealer's catalogue or website. CG Evolution Auto Ltd reserves the right to amend the Vehicle’s specifications as necessary to comply with statutory or regulatory requirements. For new Vehicles, if the model is no longer available, CG Evolution Auto Ltd may cancel the Contract, refund the deposit, or agree to supply an alternative Vehicle at the revised price. Should an accessory be unavailable, the CG Evolution Auto Ltd will offer a substitute or adjust the price accordingly.

All vehicle specifications and information presented on our website are provided by vehicle manufacturers to a third party and subsequently adapted by us for display on our website. While we endeavour to ensure the accuracy of all information, it should be regarded as indicative only. Customers are advised not to solely rely on this information for making decisions regarding the hire, or purchase of a vehicle, but should instead verify the details with the manufacturer or a franchised dealership directly.

Some diesel vehicles will be fitted with a Diesel Particulate Filter (DPF). Please click here to view further information to ensure that a vehicle fitted with a DPF meets your requirements.

Technical data on the website for Electric Vehicles (EV’s) is the WLTP data provided via the vehicle manufacturer to a third party. Please be aware that data such as “vehicle range” may be impacted by weather conditions and driving style. CG Evolution Auto Ltd accept no liability for variances in actual performance from the manufacturers stated data. Independent research should be conducted prior to deciding to lease an EV.

Delivery

CG Evolution Auto Ltd will ensure that delivery is accompanied by a sales invoice or delivery note, detailing the Order date, contract number, Vehicle type, registration number, and current mileage (if applicable). The Customer must collect the Vehicle from the Delivery Location within seven Business Days of notification that it is ready. If delivery to the Customer’s address is requested, CG Evolution Auto Ltd will consider it, but any additional delivery costs are non-refundable, and the Customer must bear the cost of returning the Vehicle.

The Customer is responsible for inspecting the Vehicle prior to purchase. CG Evolution Auto Ltd cannot be held liable for issues arising from the Customer’s failure to inspect the Vehicle thoroughly.

CG Evolution Auto Ltd is not responsible for delays caused by the manufacturer or suppliers. If we fail to deliver, liability is limited to the costs of obtaining a replacement Vehicle, minus the original Vehicle’s price. Storage costs may apply if the Customer fails to collect the Vehicle within the specified time period.

Quality

CG Evolution Auto Ltd guarantees that upon delivery or collection, the Vehicle will conform to its specifications, be free from material defects, and be fit for purpose as outlined by the Dealer. If any defect is discovered, the Customer must notify CG Evolution Auto Ltd within 5 days from the date of collection or delivery of the Vehicle. We may opt to repair, replace, or refund the price of the Vehicle. This warranty does not cover defects caused by misuse, unauthorised repairs, or normal wear and tear.

Warranty

The Customer acknowledges that used vehicles are not sold subject to or with any express guarantee or warranty whatsoever, unless CG Evolution Auto Ltd agrees with the Customer in writing and only on the terms and conditions contained in that warranty or guarantee which shall be given separately to this Contract. 

A used vehicle may have a remaining period of any manufacturer’s warranty. The Customer should contact the manufacturer directly in respect of any manufacturer warranty period that may be remaining. 

Any warranty provided by CG Evolution Auto Ltd shall be detailed on the order form and provided by AutoProtect or such other system as may be used by CG Evolution Auto Ltd from time to time. The Customer may also purchase additional warranty protection at the time of placing the order and the order form shall set out any additional cost and warranty period to be provided. 

The Customer acknowledges that CG Evolution Auto Ltd uses a third party system AutoProtect (or such other system as it may decide from time to time) and the Customer shall be required to enter into a separate agreement in order to receive any such warranty. 

The warranty does not affect your legal rights. You are advised to read the terms and conditions of any warranty carefully as a failure to comply with those terms and conditions may lead to invalidation.

Title and Risk

Risk in the Vehicle transfers to the Customer upon delivery or collection. Title remains with CG Evolution Auto Ltd until full payment is received. Where finance is involved, we may interact directly with the finance company.

Price and Payment

The price of the Vehicle is stated in the Order and may be subject to adjustment due to factors beyond our control, such as exchange rates or changes in taxes. VAT and transportation costs are excluded unless specified otherwise. Full payment of all fees and costs are required before the Vehicle is removed from CG Evolution Auto Ltd’s premises.

Finance

If the Customer opts to purchase the Vehicle via finance, they remain responsible for the Contract’s terms, regardless of the involvement of a finance provider. If the finance arrangement fails due to incorrect information, the Customer may be liable for any resulting loss.

Distance Selling

If the Consumer Contracts Regulations 2013 apply, the Customer may cancel the Contract within 14 days of receiving the Vehicle. The Customer must notify the CG Evolution Auto Ltd in writing of their decision to cancel. The Customer is responsible for returning the Vehicle in its original condition, and any reduction in value may be deducted from the refund.

Where the Customer has entered into a finance arrangement with a third party finance company any cancellation shall be subject to the terms of the finance agreement. 

For cash purchases, where this Order is entered into as a distance or off-premises contract, and the Customer is an individual acting outside the course of a business, the Customer has the right to cancel this Order within 14 days from the day after the vehicle is delivered to and accepted by the Customer, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. This right does not apply where the Customer is a limited company or where the purchase is made wholly in the course of a business.

 

On cancellation, the vehicle must not have travelled more than 50 miles from the point of delivery and must be returned to CG Evolution Auto Ltd premises. If the mileage limit is exceeded, or if the vehicle is not returned to CG Evolution Auto Ltd premises, reasonable charges and/or reasonable collection costs will apply to reflect use and recovery of the vehicle.

 

Data Protection

“Data Protection Legislation” means all applicable data protection and privacy legislation in force from time to time in the UK including the UK GDPR; the Data Protection Act 2018 (DPA 2018) (and regulations made thereunder) and the Privacy and Electronic Communications Regulations 2003 (SI 2003/2426) as amended.

We are committed to keeping your personal data secure and confidential. Throughout your contract with us we will comply with all applicable requirements of the Data Protection Legislation. 

You hereby grant us permission to process any personal data in connection with the performance by us of our obligations under this contract such as carrying out any fraud prevention checks and sharing such information with insurers, lease agents, vehicle manufacturers and any other service providers as may be necessary.

Limitation of Liability

References to liability in this agreement include every kind of liability arising under or in connection with the Contract including but not limited to liability in contract, tort (including negligence), misrepresentation, restitution or otherwise.

CG Evolution Auto Ltd’s liability is limited to losses directly resulting from its negligence or breach of contract. We are not liable for indirect or consequential losses, including loss of profit, business, or goodwill. However, CG Evolution Auto Ltd remains liable for any breach of statutory rights under the Sale of Vehicle Act 1979 and the Consumer Rights Act 2015.

You hereby warrant and agree that we will not be liable for any issues that may arise with the vehicle nor anything else that may arise with the manufacturer or lease provider. Any issues shall remain the third parties sole responsibility in respect of any breach that may occur.

Subject to the above, our total liability to you for all losses arising under or in connection with the Contract will in no circumstances exceed the total amount paid to us by you under these terms and conditions.

Termination

We may terminate the Contract with immediate effect if the Customer breaches any terms or becomes insolvent. If the Contract is terminated, the Customer must settle any outstanding payments promptly.

Force Majeure

Neither party is liable for delays or failure to perform obligations due to events beyond their control, such as natural disasters or strikes. If such events persist for more than two months, either party may terminate the Contract with seven days' notice.

General

  • Assignment: We may transfer its rights under the Contract at any time. The Customer may not transfer their rights without CG Evolution Auto Ltd’s consent.

  • Entire Agreement: The Contract constitutes the entire agreement between the parties.

  • Notices: Formal notices must be sent to the CG Evolution Auto Ltd’s registered office or to the Customer’s address as specified in the Order.

  • Third-Party Rights: The Contract does not confer any rights on third parties.

  • Variation. Any variation of the Contract only has effect if it is in writing and signed by you and us (or our respective authorised representatives).

  • Waiver. If we do not insist that you perform any of your obligations under the Contract, or if we do not exercise our rights or remedies against you, or if we delay in doing so, that will not mean that we have waived our rights or remedies against you or that you do not have to comply with those obligations. If we do waive any rights or remedies, we will only do so in writing, and that will not mean that we will automatically waive any right or remedy related to any later default by you.

  • Severance. Each paragraph of the Contract operates separately. If any court or relevant authority decides that any of them is unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.

  • Governing law and jurisdiction. The Contract is governed by English law and you and we each irrevocably agree to submit all disputes arising out of or in connection with the Contract to the exclusive jurisdiction of the English courts.
